Consider a resolution approving the Consent to the Sale of Blue Sky’s Building and Operations, authorizing the transfer of the lease and assets to Sting Soccer Club, and further authorizes the City Manager to execute all related documents on behalf of the City of Keller.
Action Requested:
Grant formal consent to transfer the lease and remaining assets of Blue Sky Sports Center to Sting Soccer Club, as required under Article 15 of the original lease agreement.
Background:
The City of Keller entered into a Keller Ground Lease Agreement with Blue Sky Sports Center of Keller, LP in 2005, covering the property at 331 Golden Triangle Blvd. In May 2022, Blue Sky transferred its operations to TOCA Keller, LLC, a subsidiary of TOCA Training Centers, LLC, which is the world’s largest operator of indoor soccer facilities.
Recently, Sting Soccer Club, a locally based organization dedicated to youth sports, expressed interest in purchasing Blue Sky’s remaining rights and assets, including the building and the lease. Sting Soccer Club plans to continue operating the facility as a youth soccer center, maintaining its current purpose and benefiting the local community.
Under the terms of the Lease, the City of Keller’s consent is required for the sale of the building and the transfer of associated rights. The attached Consent document formalizes the City's agreement to these transactions, ensuring compliance with the Lease’s terms while maintaining the integrity of the facility’s intended use.
Financial Impact:
The Agreement specifically states that the lease will remain unaffected by the transactions, and the City’s role is primarily to approve the transfer of rights and operations to the new parties involved (TOCA Keller, LLC and Sting Soccer Club).
